CORE GRID LTD — VENDOR & PROCUREMENT TERMS OF SERVICE

1. GENERAL PROVISIONS
CORE GRID LTD (Co. No. 17405090, Reg. Address: 27 Old Gloucester Street, London, WC1N 3AX, UK) engages independent contractors, technical vendors, and digital service providers for software development, sandbox integration, infrastructure testing, and data processing support (UK SIC 63110, 62012, 62020). By providing services, delivering digital assets, or issuing commercial invoices to CORE GRID LTD, the Vendor accepts these Procurement Terms.

2. PROCUREMENT SCOPE & DELIVERABLES
Technical & IT Subcontracting: Software modules, API gateway testing, data stream simulations, and localized server node maintenance.
Digital Infrastructure & Services: Cloud computing resources, developer tools, and operational tech support delivered under specific project scopes and dynamic commercial invoicing.

3. BILLING & SETTLEMENTS
Services and deliverables provided to CORE GRID LTD are invoiced in EUR or GBP. Payments are processed post-delivery or against completed milestones upon receipt of a valid Commercial Invoice and corresponding Service Delivery Report (SDR) / Acceptance Act, in compliance with UK corporate financial standards.

4. QUALITY ASSURANCE & SERVICE DELIVERY
The Vendor warrants that all digital deliverables, API access routines, and IT services comply with agreed technical parameters, meet professional industry standards, and are delivered free of encumbrances. Operational logs and delivery telemetry serve as primary verification of service completion.

5. DATA PRIVACY & GOVERNING LAW
All data handling and operational workflows comply with UK GDPR and Data Protection Act 2018. This Procurement Agreement is governed strictly by the laws of England and Wales.
